How to Write a Credit Note (Free Template)

A customer returns goods, you overcharged them, or a discount is applied after the invoice went out โ now you owe them money, and an invoice alone won't fix your books. That's what a credit note is for: it formally reverses part or all of an invoice so your accounting (and your customer's) stays accurate. Credit note vs debit note: which one do you need?
- Credit note (credit memo) โ reduces what the customer owes. Use it for returns, refunds, price corrections in your favour, or goodwill discounts. It is effectively a "negative invoice".

When to issue a credit note
- Returns โ the customer sent goods back and should no longer pay for them.

What every credit note should include
- Your business details โ name, VAT/tax number where relevant, and address (mirror the original invoice).
- Customer details โ name and address so the credit lands on the right account.
- A clear "Credit Note" title โ never call it an invoice; mixing the two confuses both your books and the customer's.
- Your credit note number and date โ keep a separate sequence from invoices so auditors can follow the trail.
- The original invoice number it references โ this is the field auditors and accountants look for first.
- The reason for the credit โ refund, return, discount or cancellation. A one-line reason prevents "what was this for?" emails later.
- The credited items โ description, quantity and unit price, matching the lines being reversed.
- The credited amount โ shown with tax, matching how the original invoice showed it (tax-inclusive or exclusive).
- Your notes โ restocking fee, replacement arrangements, or how the credit will be settled (refund vs offset against a future invoice).
Tax notes (keep it short โ ask your accountant)
If you charged VAT/GST on the original invoice and the sale is being reversed or corrected, the credit note usually needs to adjust the tax you reported for that period โ don't just subtract the total in your spreadsheet. When only part of an invoice is credited, credit the exact lines affected so the tax splits stay correct.
