Purchase Orders: The Paper Trail Before Anything Ships

You agreed on price over email. The supplier says they'll ship next week. Then someone asks, "What's the PO number?" โ€” and suddenly nobody can remember whether it was 500 units or 520. That's the moment a purchase order earns its keep. It's the buyer's written order: what you want, how many, at what price, and when you need it. Not a government form, and not legal advice โ€” just a record both sides can point to when invoices arrive.

PO vs invoice โ€” who sends what

The buyer sends the PO. The seller sends the invoice when it's time to pay. Accounts payable matches invoice lines to the PO; if the numbers line up, the payment goes out. If they don't, someone gets a phone call. Sequential PO numbers save a lot of those calls.

What to include (and what people forget)

  • Buyer and seller details โ€” legal names and addresses, not just trading names from email signatures.
  • PO number and date โ€” even a simple PO-2026-0042 beats "the order from Tuesday".
  • Line items โ€” description, quantity and unit price. Vague lines like "misc supplies" cause disputes later.
  • Delivery date โ€” when you expect goods on the dock or the service to start.
  • Payment terms โ€” Net 30, T/T, letter of credit โ€” whatever you actually agreed.

One practical tip: when the shipment lands, pair the PO with a delivery note so the receiver signs for quantities actually delivered, not just what was ordered.
